Counseling & Contracts

As outside general counsel, I advise clients on day-to-day legal and corporate matters and negotiate and draft contracts in connection with a wide variety of business transactions. Over the course of a week or a month, I may be retained to:

• File a new trademark application
• Register a copyright for web site content
• Negotiate a multi-year contract with a major customer
• Help structure and implement stock incentives and bonus plans for a sales channel
• Negotiate and draft an executive employment agreement with a new CEO
• Document the admission of a new equity partner
• Draft a separation agreement with a terminating employee.

These are only examples. The issues I handle as general counsel are as various as the businesses I represent and the day-to-day issues they confront.

Of course, some matters may require the assistance of specialists, such as patent counsel, tax counsel, and litigators for enforcing contracts and defending lawsuits. When clients are confronted with such needs, I assist them in vetting and retaining the appropriate specialist, acting as gatekeeper, keeping an eye on the clock, and managing the scope of the engagement.
