At a certain stage of growth, emerging businesses often become attractive acquisition targets for larger firms seeking to diversify or to roll up sector competition. In other cases a company may reach a tipping point where, in order to grow, it needs outside financing, private equity investment, or a strategic merger with another firm. Sometimes, too, stockholders wish to realize on their investment by actively shopping their company to potential buyers.
Over the years, I’ve represented clients in numerous fundamental transactions of this nature. I assist them with valuation, and letters of intent and help steer them through extensive due diligence reviews. I am a tough negotiator and expert draftsman of complex transaction agreements, including merger agreements, asset purchase agreements, stock purchase agreements, joint venture agreements, and ancillary executive employment and non-competition agreements. My approach is pragmatic and results-oriented: I work with opposing counsel to get the deal done – consistent, always, with protecting my client’s interests and limiting its liability and downside risk. Representing primarily (but not exclusively) sellers in the field of M&A, I am used to going toe to toe with some of the largest law firms in the country.
